ANALYSIS PROCESS

The analysis process begins with Richard Henry Group specialists
determining the following aspects:

    •        Chances of business survival
    •        The most appropriate strategies
    •        The development of a restructuring plan.

We will be spending the first days of the process in fact finding, in order to
develop a comprehensive and independent understanding of the company’s
problems.  As part of our evaluation process we consider the following
organizational aspects:

    •        Does the company have a viable core business?
    •        Does the company have an adequate organizational and financial
    structure?
    •        Is the company in a declining trend?
    •        Is the survival of the company in question?
    •        Is total business failure imminent?

Once the basic assessment is performed, we move on to a more detailed
analysis of  organizational strength and weaknesses.  Key areas of interest
are:

    •        Operational infrastructure
    •        Organizational infrastructure
    •        Human resources allocation
    •        Finances
    •        Marketing resources
    •        Corporate image

At this stage the importance of
strategic communications expertise comes
to the fore.  While the organizational analysis is in progress, we believe that
one of the most important roles our consultant must undertake is to deal with
a variety of interest groups.  Often, the most vocal group is creditors who feel
that somehow they were kept uninformed about the financial situation of the
company.  Employee communications is another vital component, which
must be accounted for.  Employees are concerned about their own job
security, leading to a lack in focus and involvement with job responsibilities.  
Other groups for which communication process must be effective are the
customers, suppliers and vendors.

After the due diligence is completed, our advisors will develop a strategic
restructuring plan to turn around the company and direct it toward the path of
repetitive and sustainable growth.  The strategic plan is then used to
persuade and gain the confidence of key interests in the company such as:
the Board of Directors, financial institutions, vendors, and employees.
